The Corporate Legal Counsel will provide legal and compliance oversight and support to ArcelorMittal Tubular Products North America (AMTP NA), a division of ArcelorMittal, a leading global steel and mining company. This role reports directly to the CFO, AMTP NA, and functionally to the ArcelorMittal Regional General Counsel, USA, and operates within a matrixed environment, requiring close collaboration across legal and compliance teams in North America and globally as well as other internal stakeholders.
RESPONSIBILITIES
REQUIREMENTS
- Collaborate with internal clients, including senior management and executives, to provide expert legal advice, risk assessments, and strategic recommendations on business operations and legal and compliance matters within AMTP NA.
- Serve as the primary liaison for internal and external stakeholders regarding AMTP NA legal and compliance inquiries, particularly related to agreements, procurement, sales and financing transactions, ESG and other regulatory reporting, and governance and controls matters, ensuring efficient communication and timely resolution.
- Act as a key point of contact between AMTP NA and the broader ArcelorMittal legal and compliance team, working closely with legal counsel from North America and other regions to ensure alignment with corporate strategies and compliance requirements.
- Supervise and direct the activities of external counsel, ensuring quality and cost-effective legal representation across diverse jurisdictions, including Canada, the U.S., and Mexico, in compliance with local laws and regulations.
- Provide legal support for compliance and regulatory activities, contributing to the development and maintenance of a comprehensive compliance program for AMTP NA and ensuring compliance with both regional and global policies.
- Advise on the interpretation of statutes, regulations, and case law, applying a thorough understanding of laws and best practices.
- Support the management and execution of commercial transactions, special projects, and governance initiatives.
- Oversee contract administration, including preparation, review, and negotiation of contracts, managing timelines, liaising with internal and external business partners, and overseeing the management of the contract database.
- Engage in research and provide insights on legal principles, working closely with internal legal colleagues as well as outside counsel to address matters related to commercial, employment, labor, immigration, litigation, policy, health & safety, and environmental concerns.
- Manage risks and ensure compliance with corporate policies and procedures while reporting to the ArcelorMittal Regional General Counsel, USA, senior management, and other relevant stakeholders within ArcelorMittal.
- Coordinate and facilitate AMTP NA corporate governance, including maintaining corporate records in accordance with applicable laws as well as ArcelorMittal procedures.
- Provide legal and compliance education and governance training to AMTP NA business, promoting legal, compliance and governance awareness and understanding within the organization.
- Fulfill Health & Safety, Performance Management, Group Compliance process and program responsibilities.
- Education:
- University undergraduate degree
- Law degree from a leading accredited law school
- Steel industry or heavy manufacturing experience.
- Member in good standing of a state bar.
- Minimum 3-5 years of professional experience as in-house counsel and/or in law firm, with expertise in areas such as corporate and commercial, governance, risk identification and management, and compliance.
- Good knowledge of corporate governance requirements and processes, legal, regulatory and current best practices.
- Proficient personal computer skills and advance knowledge of standard corporate software applications (e.g., Microsoft Office components (Word, Excel, PowerPoint, MS Teams)) and applicable systems (e.g. e-billing, law firm management and reporting, etc.).
- Experience independently reviewing, drafting, and negotiating a variety of sophisticated commercial agreements.
- Able to engage and influence others with confidence, while building relationships across multiple areas of the business and working as a team player.
- Self-starter who is developing strong business acumen and the ability to effectively support simultaneous projects.
- Proactively engaged to keep up with regulatory developments and changes.
- Capability to work within tight time constraints and changing priorities with respect to contracts, litigation, etc.
